These Terms and Conditions ("Terms") govern the relationship between A Life Science, a company incorporated under the laws of Ghaziabad with its registered office at RDC, Raj Nagar, Ghaziabad, Uttar Pradesh, and any individual or entity enrolling as an Independent Distributor/Associate ("Distributor").
1. Definitions
Distributor: An independent contractor authorized to promote and sell Company products/services.
Customers: End consumers purchasing products/services.
Compensation Plan: The published plan outlining commissions, bonuses, and incentives.
Back Office: Company-provided online portal for Distributor operations.
2. Eligibility and Enrollment
2.1 Distributors must be at least 18 years old and legally competent.
2.2 Enrollment requires accurate personal, tax, and banking information. False or misleading information is grounds for termination.
2.3 The Company reserves the right to accept or reject any application at its sole discretion.
3. Independent Contractor Status
3.1 Distributors are independent contractors and not employees, agents, partners, or franchisees.
3.2 Distributors have no authority to bind the Company.
3.3 Distributors are responsible for all taxes, licenses, permits, and expenses related to their business activities.
4. Products and Sales
4.1 Products/services may be sold only in authorized territories and channels.
4.2 Distributors shall not make false, misleading, or unsubstantiated claims regarding products, earnings, or the business opportunity.
4.3 Retail sales to end customers are required where mandated by law or Company policy.
5. Compensation and Payments
5.1 Compensation is governed exclusively by the Compensation Plan, as amended from time to time.
5.2 Commissions are payable only on verified, completed, and non-refunded sales.
5.3 The Company may withhold or recover payments in cases of error, fraud, chargebacks, or policy violations.
6. Marketing and Advertising
6.1 Distributors may use only Company-approved branding, materials, and claims.
6.2 Online marketing, including social media and paid advertising, must comply with Company guidelines and applicable law.
6.3 Spamming, deceptive practices, or infringement of intellectual property is prohibited.
7. Training, Support, and Back Office
7.1 Access to training and the Back Office is subject to compliance with these Terms.
7.2 The Company may modify or discontinue tools and services at any time.
8. Confidentiality and Data Protection
8.1 Distributors shall maintain the confidentiality of non-public Company information.
8.2 Personal data must be handled in accordance with applicable data protection laws and Company policies.
9. Code of Conduct
9.1 Distributors must act ethically and comply with all applicable laws and regulations.
9.2 Prohibited conduct includes pyramid schemes, inventory loading, cross-recruiting, and harassment.
10. Term, Suspension, and Termination
10.1 These Terms commence upon enrollment and continue until terminated.
10.2 The Company may suspend or terminate a Distributor for cause or material breach.
10.3 Upon termination, rights to commissions cease except as required by law.
11. Buyback, Returns, and Refunds
11.1 Product returns and buybacks are governed by the Company’s Return Policy.
11.2 Refunds may result in commission reversals.
12. Intellectual Property
12.1 All trademarks, logos, and content are owned by the Company.
12.2 Limited, revocable permission is granted for authorized business use only.
13. Limitation of Liability
13.1 To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages.
13.2 Aggregate liability shall not exceed the amounts paid to the Distributor in the preceding period.
14. Indemnification
Distributors agree to indemnify and hold the Company harmless from claims arising from their conduct or breach of these Terms.
15. Governing Law and Dispute Resolution
15.1 These Terms are governed by the laws of Ghaziabad.
15.2 Disputes shall be resolved by District Court located in Ghaziabad.
16. Amendments
The Company may amend these Terms upon notice. Continued participation constitutes acceptance.
17. Severability and Waiver
Invalid provisions shall be severed without affecting the remainder. Failure to enforce is not a waiver.
18. Entire Agreement
These Terms, the Compensation Plan, and incorporated policies constitute the entire agreement.
